TERMS OF SERVICE

These Terms of Service ("Terms") govern your access to and use of blacklineglobaltrading.com, the Blackline Portal, and any related application, dashboard, or account feature made available by Blackline Global Trading ("Blackline," "the Company," "we," "us," or "our") (collectively, the "Services"). By accessing or using the Services, submitting an application, or creating or using an account, you ("you" or "your," including any individual acting on behalf of a corporate entity) agree to be bound by these Terms. If you do not agree, do not access or use the Services.
1. Eligibility
The Services are intended solely for businesses and individuals acting in a professional capacity in connection with the trading, brokering, or purchase of petroleum products and related energy commodities. You must be at least eighteen (18) years of age and have the legal authority to bind the entity on whose behalf you act, where applicable. Access to certain areas of the Services, including any client or broker portal or dashboard, is granted at Blackline's sole discretion and may require prior approval, verification, or account provisioning by Blackline.
2. Accounts and Access
Where the Services include a login, portal, or dashboard, access is provided only to individuals or entities approved by Blackline, generally following completion of a KYC / Buyer Application, Broker / Referral Application, or equivalent onboarding process. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify Blackline promptly of any unauthorized use of your account. Blackline may suspend or terminate account access at any time, with or without notice, including where it reasonably believes an account has been compromised, misused, or used in violation of these Terms.
3. Applications, Orders, and No Guarantee of Approval
Submission of a KYC / Buyer Application, Broker / Referral Application, order request, or any other form through the Services does not constitute an offer, commitment, or contract of any kind, and does not guarantee approval, counterparty status, or entry into any transaction with Blackline. All applications, order requests, and account access are subject to independent verification, compliance review, and approval at Blackline's sole discretion. Product availability, specifications, pricing, and delivery terms displayed through the Services are indicative only, subject to change without notice, and do not constitute a binding offer until confirmed in a signed transaction-specific agreement (such as a Sale and Purchase Agreement) executed by both parties.
4. Documents You Submit
You are solely responsible for the accuracy, completeness, and lawfulness of any document or information you upload or submit through the Services, including corporate, banking, KYC, and transaction-related documents. You represent that you have the authority to submit such documents, including any documents relating to third parties, and that you have obtained any necessary consent to do so. Blackline may request additional documentation, reject or disregard any submission it reasonably believes to be inaccurate, incomplete, or fraudulent, and reserves the right to conduct independent verification of any submitted document before relying on it.
5. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose, or in violation of applicable sanctions, export-control, anti-money-laundering, or anti-corruption law;
- Submit false, misleading, or fraudulent information or documentation;
- Attempt to access another user's account, data, or documents without authorization;
- Interfere with, disrupt, or attempt to gain unauthorized access to the Services, including through hacking, scraping, or introducing malicious code;
- Use the Services to circumvent, bypass, or solicit business outside of Blackline in violation of any applicable non-circumvention or non-disclosure agreement between you and Blackline;
- Reproduce, resell, or commercially exploit any portion of the Services without Blackline's prior written consent.
6. Intellectual Property
The Services, including all text, graphics, logos, and software, are owned by or licensed to Blackline and are protected by applicable intellectual property laws. Except for the limited right to access and use the Services in accordance with these Terms, no right, title, or interest in the Services is transferred to you.
7. Third-Party Links and Services
The Services may reference or link to third-party websites, banks, inspection agencies, or other service providers not controlled by Blackline. Blackline is not responsible for the content, accuracy, or practices of any third party, and your use of any third-party site or service is at your own risk and subject to that third party's own terms.
8. No Warranty
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT ACCESS TO THE SERVICES WILL BE UNINTERRUPTED, SECURE, TIMELY, OR ERROR-FREE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BLACKLINE, ITS OFFICERS, MEMBERS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LIABILITY ARISING FROM THE SALE, PURCHASE, DELIVERY, QUALITY, QUANTITY, OR PAYMENT OF ANY PRODUCT IS GOVERNED EXCLUSIVELY BY THE RELEVANT SIGNED TRANSACTION AGREEMENT, NOT BY THESE TERMS. IN NO EVENT SHALL BLACKLINE'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED ONE HUNDRED U.S. DOLLARS (US $100).
10. Indemnification
You agree to indemnify, defend, and hold harmless Blackline, its officers, members, employees, agents, and service providers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) your breach of these Terms; (c) your violation of applicable law; or (d) any document or information you submit through the Services.
11. Suspension and Termination
Blackline may suspend or terminate your access to the Services at any time, with or without cause or notice, including for suspected violation of these Terms, suspected fraud, or a compliance or sanctions concern. Sections of these Terms that by their nature should survive termination (including intellectual property, no warranty, limitation of liability, indemnification, and governing law) shall survive.
12. Changes to These Terms
Blackline reserves the right to amend or update these Terms at any time, at its sole discretion. Any changes will be posted on this page with an updated "Last updated" date. Your continued use of the Services following the posting of changes constitutes acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
13. Governing Law; Dispute Resolution
These Terms, and any dispute arising out of or relating to them or the Services, shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict-of- laws principles, and, where applicable, U.S. federal law. Any dispute, controversy, or claim arising out of or relating to these Terms shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in Houston, Harris County, Texas, in accordance with its applicable rules then in effect, and judgment on the award rendered may be entered in any court having jurisdiction thereof. Nothing in this Section shall preclude Blackline from seeking injunctive or equitable relief in a court of competent jurisdiction to protect its confidential information, intellectual property, or other legal rights.
14. Relationship to Other Agreements
These Terms govern your use of the Services generally. Where you have separately signed a specific agreement with Blackline covering the same subject matter — including a KYC / Buyer Application certification, a Non-Circumvention / Non-Disclosure Agreement, or a signed Sale and Purchase Agreement — the terms of that specific agreement control over these Terms with respect to that subject matter. These Terms should be read together with Blackline's Privacy Policy, which governs the collection and use of your information.
15. Severability; Entire Understanding
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. These Terms, together with the Privacy Policy and any applicable certifications made within an application, constitute the entire understanding between you and Blackline with respect to your use of the Services, and supersede all prior or contemporaneous understandings on that subject.

They do not create any fiduciary, agency, partnership, or other special relationship between you and Blackline. Blackline recommends that you consult your own legal counsel regarding your use of the Services and any related transaction.
